By visiting our website and accessing the information, resources, services, products and tools that we offer to you, you understand and agree to be bound by the following terms as set forth in this policy (hereinafter referred to as the "Service Agreement"). Responsible use and conduct

By visiting our website and accessing the information, resources, services, products and tools that we offer to you, whether directly or indirectly (hereinafter referred to as "Resources"), you agree to use these Resources only for the intended purposes as permitted by (a) the terms of this User Agreement and (b) laws, regulations and generally accepted online practices or guidelines.

By posting information or otherwise using our open communication tools, you agree not to upload, post, share or otherwise distribute content that:

i) Is unlawful, threatening, defamatory, abusive, harassing, degrading, intimidating, fraudulent, deceptive, intrusive, racist or contains any type of suggestive, inappropriate or explicit language;

ii) Constitutes an infringement of any trademark, patent, trade secret, copyright, or other proprietary right of another party;

iii) Contains any type of unauthorized or unsolicited advertising;

iii) Aims to impersonate you as another person or entity, including employees and representatives of www.mpili.com.

We reserve the right, in our sole discretion, to remove any content that we believe does not comply with the User Agreement, and any content that we believe is offensive, harmful, distasteful, inaccurate or that infringes the copyrights or trademarks of third parties. We are not responsible for the time it takes to remove this content or for not removing it. If you post content that we choose to remove, you hereby consent to such removal and agree to waive any claims against us.

 

h. We are not responsible for content posted by you or posted by third party users of our website. However, any content you post using our open communication tools on our website, provided it does not violate or infringe any third party's copyrights or trademarks, becomes the property of www.mpili.com and, therefore, grants us the perpetual, irrevocable, worldwide, royalty-free and exclusive right to reproduce, modify, adapt, translate, publish, publicly display it or distribute it in any way we deem appropriate. This term refers to and applies only to content posted through our open communication tools, as described, and does not apply to information that is provided as part of the registration process necessary to use our Resources. You agree to indemnify and hold harmless www.mpili.com, its parent and affiliates and their directors, officers, managers, employees, donors, agents and licensors from and against all losses and expenses and damages and cost, including reasonable attorneys' fees, resulting from any violation of this User Agreement or non-performance of obligations relating to your account caused by you or anyone else using your account. We reserve the right to assume the exclusive defense of any claim for which we are entitled to indemnification under this User Agreement. In such circumstances, we will ask you to reasonably cooperate with us.

Orders

Although our goal is to have an error-free website, we do not guarantee that its content is 100% accurate and complete, particularly with regard to information on prices and product specifications. If we notice a price error, it will be corrected in our systems, and the corrected price will apply to your order. MPILI inc. reserves the right to withdraw any advertised offer and to correct any errors, inaccuracies or omissions (including once the order has been submitted and accepted).

Guarantee limits

By using our website, you understand and agree that all resources we offer are "as is" and "as available". This provision means that we do not represent or warrant that:

i) the use of our Resources will meet your needs or requirements;

ii) the use of our Resources will be uninterrupted, timely, secure and error-free;

iii) information obtained using our Resources will be accurate or reliable; And

iv) any defects in the operation or functionality of the Resources we offer will be repaired or corrected.

Additionally, you understand and agree that:

v) downloading or otherwise obtaining any content using our Resources is done at your own discretion and risk, and that you are solely responsible for any damage to your computer or other device regarding any loss of data that may result from downloading such content.

vi) no information or advice, whether expressed, implied, oral or written, obtained on www.mpili.com or through our Resources shall create any warranty or condition of any kind except those expressly provided for in this User Agreement.

 

Limitation of Liability

In connection with the Limitations of Warranties explained above, you expressly understand and agree that any claim brought against us will be limited to the amount paid by you, if any, for use of our products or services. www.mpili.com shall not be liable for any direct, indirect, incidental, consequential, or exemplary loss or damage that you may incur while using our Resources or due to modification, loss of data, corruption, cancellation, loss of access or downtime to the full extent relevant limitation of liability laws apply.

 

Copyrights/Trademarks

All content and material available at www.mpili.com including but not limited to text, graphics, website name, code, images and logos are the intellectual property of www.mpili.com .mpili.com and are protected by applicable copyright and trademark laws. Any improper use, including but not limited to the reproduction, distribution, display or transmission of any content found on this site is strictly prohibited, unless expressly authorized by www.mpili.com.

 

End of use

You agree that we may, in our sole discretion, suspend or terminate your access to any or all of our website or Resources with or without notice and for any reason, including, but without limitation, for breach of this User Agreement. Any suspected illegal, fraudulent or abusive activity may be cause for terminating your relationship with us and may be referred to appropriate law enforcement authorities. Upon such suspension or termination, your right to use the Resources we provide will terminate immediately and we reserve the right to remove or delete any information we have on record for you, including your account or login information.

 

Applicable right

This website is controlled by www.mpili.com from our offices located in the province of Quebec in Canada. It can be accessed in most countries. Since each country has laws that may differ from those of Quebec, by visiting our website, you agree that the laws and regulations of Quebec, without regard to conflict of laws and the United Nations Convention on the International Sale of Goods , apply to all matters relating to the use of this website and the purchase of any product or service found on it.

 

Further, any action taken to enforce this User Agreement will be brought before the federal or provincial courts located in Quebec, Canada. You hereby consent to the personal jurisdiction of such courts and waive any and all disputes as to the jurisdiction, venue and subject matter jurisdiction of such courts.
